CS Foundation After 12th: Eligibility, Syllabus and First Steps

Last Updated On -29 Aug 2026

Class 12 commerce student comparing the old CS Foundation syllabus with the restructured CSEET paper pattern

Search for the CS Foundation syllabus and you will land on four pages saying four different things. One tells you the exam is objective and that you write it at home. The next describes three-hour written papers at a test centre. A third cheerfully explains a programme that ICSI shut down years ago.

ICSI ended the CS Foundation Programme in February 2020, and the last exam under it ran in December 2022. Entry to the Company Secretary course now happens through the Executive Entrance Test, which everyone calls CSEET. Then came the June 2026 session, and ICSI rewrote CSEET so thoroughly that it turned back into something students would recognise as a foundation-level exam. Four subjects. Written answers. Exam halls, not laptops.

So, the old name survived while the exam under it changed twice.

Below is where things actually stand: who can register after Class 12, which papers you take, what it costs, and where students lose a session without realising it.

Why the Name CS Foundation Never Died?

Phrases do not disappear just because a regulation does. Your commerce teacher learned the old structure. A cousin who registered in 2019 still calls it the CS Foundation course, and half the coaching brochures floating around have never been updated.

The Company Secretary course has three stages, and only the first one was renamed: the entrance test, Executive, and Professional. The first stage's job never changed. It checks whether you can read, write, count, and reason before ICSI hands you company law.

A caution, though. The 2026 changes are recent enough that plenty of websites, including large education portals, still publish the old MCQ pattern for the CS Foundation exam. Verify it against the ICSI announcement itself. Building a study plan around a dead syllabus is an expensive mistake.

Who Can Register After Class 12?

You must be an Indian national, and you must have passed or be appearing for the 10+2 examination or an equivalent. Streams are not a barrier.

Commerce students start with roughly a month's advantage in accounting. Everyone else can close that gap, provided they begin with debits and credits instead of leaping into adjustment problems. That pattern repeats in every batch.

Some students should not be paying for this test at all. ICSI allows these groups to register straight into the Executive Programme:

  • Anyone who cleared the old CS Foundation Programme
  • Graduates and post-graduates
  • CA Intermediate pass students
  • CMA Final pass students
  • Final-year or final-semester students of a three-year degree, on provisional registration
  • Students who have cleared or are appearing in semester six of a recognised five-year integrated programme

Graduates, read that list twice. Fees are not refunded, with the only exception being a double payment.

Four hundred marks in total.

Two of the older CS Foundation subjects are gone. Legal Aptitude and Logical Reasoning made way for accounting. Current Affairs and Quantitative Aptitude gave way to law and management. Within that fourth paper, the split is 60 marks for Business Laws and 40 for Business Management.

The format change matters more than the subject list. Three papers now require written answers. You will draft business correspondence, pass journal entries on paper, and explain economic ideas in sentences an examiner has to read. Clear presentation earns marks. Writing speed becomes a real constraint somewhere past the two-hour mark, which is not something an MCQ paper ever tested.

Passing Marks and the One-Sitting Rule

Forty percent in each paper. Fifty percent in the aggregate. Both in the same sitting. Nothing carries forward, and no paper-wise exemption exists.

That single rule ends more attempts than weak preparation does. Score 74, 68, 61, and then 38, and the session is gone. Even effort across four papers beats brilliance in two.

The remaining mechanics are straightforward. Subjective papers run at designated centres in major Indian cities from 2:30 to 5:45 in the afternoon, including 15 minutes of reading time. The OMR paper runs from 2:30 to 4:45. Business Laws and Management has no negative marking, so guess rather than leave gaps. ICSI conducts three sessions a year, in the first week of February, June, and October. Marksheets arrive only in electronic form.

CS Foundation Registration Fees and Dates

Registration costs ₹7,500 now, and that amount covers the Student Induction Programme and ICSI's online classes. The examination fee is separate: ₹1,500 per session, with ₹250 added if you apply during the late window.

Concessions get overlooked. SC/ST candidates, candidates with disabilities, and students from the North Eastern states, Andaman & Nicobar, Lakshadweep, and Himachal Pradesh pay half at registration. Students from Jammu & Kashmir and Ladakh pay nothing.

Here is where people genuinely get caught. CS Foundation registration and exam enrolment are separate forms. You register once, and the registration stays valid for three years. You enroll again for every session you intend to write. Completing the first step does not put your name on any exam list, and the Student Induction Programme has to be completed before enrolment opens for you.

Registration windows run from 1 November to the end of February for the June session, 1 March to 30 June for October, and 1 July to 31 October for February. Passing starts a one-year clock: register for the Executive Programme within that period. Since dates can be revised, confirm yours on the ICSI website.

Study Material and Books Worth Buying

Students still ask for CS Foundation study material using that phrase. What they receive is the entrance-level material ICSI provides after registration, and it deserves to be the main text because the paper setters work from it.

Beyond that, resist overbuying. Your Class 11 and 12 accountancy books teach Fundamentals of Accounting better than any crash guide will. Fifteen honest minutes with a newspaper covers a fair slice of Economic and Business Environment. Business Communication improves through writing, not by reading grammar chapters.

Third-party CS Foundation books need care. Many were built for the objective pattern and still carry MCQ sets. Check the edition against the restructured syllabus before paying.

What to Do in Your First Two Weeks?

  • Confirm whether you need the entrance test or already qualify for direct entry
  • Download the official syllabus and read the topics yourself, not somebody's summary
  • Choose a session that leaves three or four honest months, not six optimistic weeks
  • Write answers by hand from day one
  • Speak to someone who has taken students through this level

Counsellors for the Company Secretary course at IIC Lakshya run free sessions for Class 12 students and their parents, and a fair share of that time goes into untangling this exact old-versus-new confusion. Still weighing CS against other commerce routes? Our guide to the CS course puts them side by side.

Where the Company Secretary Course Goes?

After the entrance test come the Executive and Professional Programmes, along with the practical training ICSI prescribes. Qualified members run board processes and filings, handle governance and compliance work, take up secretarial audits, and, in many cases, build an independent practice. Indian company law requires listed companies and companies above prescribed capital thresholds to appoint a whole-time company secretary, which is why hiring stays reasonably steady even in slow years.

On salary, be cautious with anyone quoting a single figure. A trainee stipend at a small secretarial firm and a first package at a listed company in Bengaluru belong to different worlds. The gap shifts with the city, sector, and how you train.

One Last Thing

The CS Foundation syllabus you will actually study is the restructured CSEET. More accounting, more writing, and far less room to guess your way through. That does not make it unpassable. It means preparing for four papers instead of gambling on one afternoon.

Read the ICSI announcement. Check your eligibility properly. Pick a session you can be ready for. And if one doubt is stalling you, get it answered by a counsellor before you spend money on registration.
