Can Engineering Graduates Become Company Secretaries?

Last Updated On -05 Aug 2026

Engineering graduate reviewing Company Secretary course books and ICSI study material at a desk

Every year, engineering colleges send out thousands of graduates who assume their only options are core engineering roles, IT, or an MBA. Company Secretary almost never comes up in that conversation, and it is not because engineers cannot do it. Nobody tells them the option exists. ICSI does not ask for a commerce degree at the door walk in with any graduate degree, engineering included, and you can register directly for the CS Executive Programme without having read a single balance sheet before.

Maybe you are an engineer turning this idea over. Maybe you are a parent trying to understand why your son or daughter wants to study company law instead of sitting for placement interviews. Either way, here is what matters: who is eligible, what the syllabus looks like, what it costs and how long it takes, and where a Company Secretary career genuinely leads in India. We will also look at whether an engineering degree helps once the exams begin, based on what mentors see Company Secretary course play out year after year.

Who Can Register for the Company Secretary Course?

Here is what surprises most engineering students: ICSI never asks which degree you hold. Commerce, engineering, medicine, arts a graduate from any recognised university can register directly for the Executive Programme. Plenty of engineers assume the exam leans entirely on commerce basics they never touched in college. It does not work that way.

What decides your entry route is your qualification status, not the subject of your degree. Class 12 pass-outs need to clear CSEET unless they fall under another notified exemption category. Graduates can skip CSEET and go straight to the Executive Programme under ICSI’s current rules.

Do Engineering Graduates Need to Clear CSEET First?

Here is where the detail actually matters. Under the restructured CSEET rules effective from June 2026, graduates and postgraduates are exempt from CSEET and may register directly for the CS Executive Programme. This includes engineering graduates from recognised universities.

You may still come across older articles referring to different aggregate requirements for commerce and non-commerce graduates. Those percentage-based distinctions no longer reflect the current CSEET exemption rules.

These criteria can change; ICSI updates admission and exemption requirements from time to time. Confirm the latest position on icsi.edu before registering, or ask a counsellor who tracks these changes closely.

Company Secretary Syllabus for CS Executive

Once you are registered, the CS Executive Programme splits into two groups: seven Company Secretary subjects in total under ICSI’s current syllabus. None of it assumes a commerce background, which is exactly why engineering graduates are not automatically starting from behind.

Group

Paper

Group 1

Jurisprudence, Interpretation & General Laws

Group 1

Company Law & Practice

Group 1

Setting Up of Business, Industrial & Labour Laws

Group 1

Corporate Accounting & Financial Management

Group 2

Capital Market & Securities Laws

Group 2

Economic, Commercial & Intellectual Property Laws

Group 2

Tax Laws & Practice

Paper names and weightage may shift whenever ICSI updates the syllabus, and that has happened before. If your registration falls close to a syllabus transition, do not rely on this table alone; download the current Company Secretary syllabus directly from ICSI.

Will an Engineering Degree Make Any Papers Easier?

There is no direct exemption for an engineering degree, unfortunately. Law graduates and CMA Final-qualified students may receive specific paper-wise exemptions because their earlier qualifications cover similar areas. Engineers do not get that shortcut. You sit all seven papers like any other entrant without an eligible qualification-based exemption.

Here is the pattern mentors notice, though. Engineers tend to pick up Corporate Accounting & Financial Management faster than expected it rewards the same structured, formula-based thinking they already know. The real adjustment shows up in the law papers, where doing well means reading dense legal language patiently, something engineering coursework rarely trains you for. Start that reading habit early. Leaving the bare Acts until the final weeks is a mistake we see far too often.

Company Secretary Course Fee and Duration

Cost is usually the next question, right after eligibility. The overall Company Secretary course fee includes ICSI registration and other prescribed charges, while examination enrolment fees are paid separately. Coaching fees are also separate and vary depending on how much academic support an institute offers. Skip the numbers on random blogs for the current Company Secretary course fee; ICSI’s own website is the source worth trusting.

On timing, most students need several months of preparation after registration before sitting the Executive exams, usually around nine months to a year, depending on the registration date and examination cycle. Then comes the Professional Programme, followed by mandatory training and membership requirements. Skipping CSEET does not give engineering graduates a shortcut here. Everyone moves through Executive and Professional at roughly the same pace.

Company Secretary Career Path After Qualifying

A Company Secretary career path opens up in more directions than most engineering students expect. Under the Companies Act and the applicable rules, listed companies and certain public and private companies above prescribed paid-up share capital thresholds must appoint a whole-time Company Secretary. This statutory requirement helps keep demand steady across manufacturing firms, IT companies, NBFCs, and listed businesses, and quite a few of these are places where an engineering background can work in your favour.

There is also the independent route. Once you qualify and complete the applicable membership and practice requirements, you can take up work involving ROC filings, due diligence, compliance certification, and governance advisory services. Startups have joined the hiring list too, largely because investors expect clean compliance from the first funding round. None of this guarantees a placement or a fixed package, and the practical exposure you build during training matters a great deal. Still, the roles available stretch well beyond the old image of a company law expert behind a corner desk.

Company Secretary Salary in India

Company Secretary salary in India varies widely city, company size, experience, and in-house employment versus independent practice all play a part. Treat any number floating around online as a reference point, not a promise. A fresh CS professional joining a mid-sized or large company usually starts modestly, while metro postings at listed companies tend to pay more than roles in smaller private firms. Pay climbs with experience, added certifications, and a proven ability to manage compliance for larger, more complex organisations.

Practising Company Secretaries work by a different logic altogether. Their income depends on the client base they build, not a fixed salary scale. Building that practice can take a few years something worth knowing before you begin, not after.

Is the Switch From Engineering Worth It?

Every engineering graduate weighing this switch asks some version of the same question: am I wasting my degree? Mentors who counsel students through this decision tend to disagree with the premise. Structured problem-solving and analytical discipline carry over into compliance work quite well, even when the subject matter looks completely different on paper.

The real caution is pace, not waste. You are starting a new professional qualification from zero, alongside commerce graduates who may already have spent three years reading balance sheets and case studies. The first few months of Corporate Accounting and the law papers will feel unfamiliar, so budget enough study time instead of betting on instinct. Treat CS as a serious second qualification, not a fallback, and both Executive and Professional become much more manageable.

Final Thoughts

You do not need a commerce background to become a Company Secretary. Engineering is a valid starting point. What actually matters is understanding the syllabus before you begin, knowing which exemption rules apply to you and which do not, and studying the law-heavy papers with the same discipline you once gave technical subjects. ICSI’s route is open to graduates from different academic backgrounds, and the career path on the other side is broader than many students realise.
